This session will take place in the Delta Room (Quelhas Building, 3rd floor).<\/p>\n\n\n\n<p><strong>Title:<\/strong>&nbsp;Credibility of Voluntary Disclosure Regarding Intangible Assets<\/p>\n\n\n\n<p><strong>Abstract:<\/strong>&nbsp;Most intangible assets (IA) are not recognized under accounting standards, increasing the reliance on voluntary disclosure to inform investors. Yet, agency problems and proprietary costs raise concerns about the credibility and effectiveness of the current voluntary IA disclosure regime. This paper examines whether voluntary IA disclosure aligns with the underlying economic value of IA, and whether deviations from this value have economic consequences in the capital and managerial labor markets. The paper draws on the mergers and acquisitions (M&amp;A) context, in which fair valuations of the target\u2019s IA become observable. The paper finds a positive association between the extent of voluntary IA disclosure and IA value; however, this association is constrained by the presence of proprietary costs. Further results indicate that less credible firms experience adverse capital market outcomes consistent with a deteriorated information environment. Relative to the underlying IA value, target managers who under-disclose are more likely to secure seats on the acquirer\u2019s board following the acquisition, while managers who over-disclose experience a decline in reputation in the broader executive labor market.a<\/p>","protected":false},"excerpt":{"rendered":"On October 1, between 11:00 a.m. and 12:00 p.m., there will be a session of the ISEG Research Seminars.
